BOI Reporting Deadline Set For March 21
If you own a small business, listen up! You now have until March 21st to file your beneficial ownership information, or BOI, according to the Financial Crimes Enforcement Network (FinCEN.) This comes after a federal district court lifted the last nationwide injunction that had been blocking the filings.
FinCEN, which enforces BOI reporting under the Corporate Transparency Act (CTA), announced the new deadline for initial, updated, and corrected BOI reports is March 21. However, businesses that had previously been given a later deadline will still have to follow that. For example, if a company’s deadline is in April 2025 due to certain disaster relief extensions, it should stick to the April deadline.
FinCEN also mentioned that the 30-day period will allow them to review their options for adjusting deadlines, focusing on high-risk entities that might pose national security threats. They also plan to start revising the BOI reporting rules this year to make compliance easier for small businesses. They will also provide updates if there are any further changes to the deadline, and acknowledged that businesses might need extra time to meet the requirements once the update is issued.
To provide some context, the Corporate Transparency Act, passed in 2021 to fight money laundering, requires businesses to disclose information about their beneficial owners.
Willfully violating these reporting requirements could lead to fines of up to $606 per day, totaling $10,000, and even two years in prison. Unauthorized disclosure of this information also carries serious penalties.
